1. Acceptance of Terms

By accessing or using any AvatarAgency service — including Ethica and any other AI avatar product — you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

We may update these terms at any time. Continued use of the service after changes are posted constitutes acceptance of the revised terms.

2. Description of Service

AvatarAgency provides AI-powered interactive avatar experiences for educational, informational, and entertainment purposes. Our avatars — including Ethica, the AI fraud awareness guide — use conversational AI to respond to user questions in real time.

Ethica is designed to help users understand fraud, financial schemes, and consumer protection concepts. She is a fictional character portrayed by an AI system and does not provide legal, financial, or professional advice of any kind.

3. Free Trial & Subscription

New registered users receive a complimentary 5-minute session with Ethica at no cost. No credit card is required to access the free trial.

After the free trial is exhausted, continued access requires a paid monthly subscription. Subscription details, pricing, and billing cycles are presented at the time of purchase. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to modify subscription pricing with reasonable advance notice to active subscribers.

4. User Accounts

To use the service, you must register an account with a valid email address and password. You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

You must be at least 18 years old to create an account.

5. Not Legal or Financial Advice

The content generated by Ethica and other AvatarAgency avatars is for general educational and informational purposes only. Nothing in any conversation constitutes legal, financial, tax, or professional advice. AvatarAgency is not a law firm, financial institution, or licensed advisor.

Always consult a qualified professional for advice specific to your situation.

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or prompts
• Harass, threaten, or abuse other users or AvatarAgency personnel
• Impersonate any person or entity
• Transmit malware, viruses, or harmful code
• Resell or sublicense access to the service without written permission

We reserve the right to suspend or terminate any account that violates these terms.

7. Intellectual Property

All content, branding, avatar likenesses, scripts, and technology associated with AvatarAgency are the exclusive property of AvatarAgency and its licensors. Nothing in these terms grants you any ownership of our intellectual property.

Conversation transcripts generated during your session are yours for personal use. You may not publish, redistribute, or commercially exploit session content without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AvatarAgency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the service.

Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

9. Disclaimers

The service is provided "as is" without warranties of any kind. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated responses will be accurate or complete. AI systems can make mistakes — always verify important information independently.

10. Coaching Services — Payments, Rescheduling & Refunds

This section applies to paid coaching services, including the Claude Coaching program ("coaching sessions") purchased through this site.

Payment. Coaching sessions are billed as a one-time, flat fee at the time of purchase, processed by our payment provider (Stripe). Your card statement will show a descriptor identifying AvatarAgency.

Refunds.

(a) Before your intake call: you may cancel for a full refund at any time before your 30-minute intake call takes place — no questions asked. Email [email protected].

(b) After intake, before your coaching session: you may still cancel for a full refund at any time before your 60-minute coaching session begins.

(c) After your coaching session — our "Worth It" guarantee: if you complete your coaching session and do not believe it was worth what you paid, tell us within 7 days of the session and we will refund your purchase in full.

Rescheduling & no-shows. You may reschedule the intake call or coaching session free of charge with at least 24 hours' notice. If you miss a scheduled session without notice, we will rebook it once at no charge; subsequent no-shows may forfeit the session.

Refunds are issued to the original payment method and typically settle within 5–10 business days. This policy does not limit any non-waivable rights you may have under applicable consumer-protection law.

11. Coaching Services — Recording, Your Data & Use of AI

This section applies to paid coaching services and to any related access you are given to an AI coach or digital twin. It sits alongside Sections 5, 8 and 9, which apply to coaching as well as to our other services.

Session recording. Coaching sessions are recorded and transcribed using an AI notetaker so your coach can stay focused on you rather than on note-taking, and so we can prepare your written guide. California is a two-party consent state: we will ask for your spoken consent at the start of every session, and you may decline. If you decline, the session proceeds with manual notes and nothing is recorded. You may ask us to delete a recording at any time by emailing [email protected]. Recordings and transcripts are used to produce your session materials, to personalize your AI coach, and to improve our coaching. They are not sold, published, or shared outside AvatarAgency.

Your accounts stay yours. Coaching is delivered inside your Claude account and your connected services. You authenticate directly with those providers. We do not ask for, store, or retain your passwords, and we do not access your accounts outside a live session with you present. Any connection you authorize during a session can be revoked by you at any time, directly with that provider.

Material you give us. You choose which documents to share. You agree not to provide us with, or upload during a session, any protected health information, client-confidential or privileged material, government identifiers, payment-card or financial-account numbers, or other sensitive personal information about third parties. We instruct clients both in writing and verbally not to do so. If you provide such material despite this, you do so at your own discretion and remain responsible for it under any legal or professional obligations that apply to you. AvatarAgency is not engaged as a HIPAA business associate, and no business-associate agreement is in place unless separately executed in writing.

How AI is used, and your responsibility for output. Coaching sets up AI tools that draft, summarize, and suggest. AI systems make mistakes, including confident ones. Every workflow we build is designed so that AI proposes and you review and approve before anything reaches a customer, patient, client, or counterparty. You remain solely responsible for reviewing AI-generated output and for anything you choose to send, publish, or act upon. Use of AI in your business is at your own discretion and risk, including compliance with any professional, regulatory, licensing, or industry obligations that apply to you.

No professional advice. Coaching is technical and operational instruction in how to use AI tools. It is not legal, medical, dental, financial, tax, accounting, insurance, or other professional advice, and it creates no professional or fiduciary relationship. We do not advise on whether a particular use of AI is permissible in your regulated field — that determination is yours, in consultation with your own advisors.

Third-party services. Claude is a product of Anthropic, and the services you connect to it are operated by their own providers. AvatarAgency is independent of, and not endorsed by or affiliated with, Anthropic or those providers. Your use of each remains governed by that provider's own terms, and we are not responsible for their availability, pricing, changes, or acts and omissions.

Your AI coach. Post-session access to our digital twin coach is a synthetic performer — an AI likeness using Michael Rivera's voice and knowledge. It is not a live person, and its responses are AI-generated and subject to the same limitations described above. Access is time-limited and subject to the fair-use limits described at the time of purchase.

Results. We do not guarantee any particular business outcome, revenue result, time saving, or level of AI performance. Your results depend on your own use, your data, your market, and factors outside our control. Our commitment is the "Worth It" guarantee in Section 10 — not a promised outcome.

Nothing in this section limits any non-waivable rights you may have under applicable law, or excludes liability for fraud, gross negligence, or willful misconduct.

12. Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising under these terms shall be resolved in the courts of Los Angeles County, California.
